1. Introduction

Welcome to Gadura Commerce, a multi-tenant trade hub platform operated by Gadura LLC, a limited liability company incorporated in Wyoming, USA ("Company", "we", "us", or "our").

By accessing or using the Gadura Commerce platform ("Platform"), whether as a hub owner, trader, buyer, or visitor, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

2. Definitions

  • Platform: The Gadura Commerce software-as-a-service application and all related services.
  • Hub: A tenant instance on the Platform, operated by a Hub Owner.
  • Hub Owner: A subscriber who creates and manages a trade hub on the Platform.
  • Trader: A supplier whose products are listed within a Hub.
  • Buyer: An individual or business that registers and places orders through a Hub.

3. Account Registration

You must register for an account to use the Platform. You agree to provide accurate, complete information and to keep your account credentials secure. You are responsible for all activity under your account.

4. Hub Owner Responsibilities

Hub Owners are the merchant of record for their Hub. They are solely responsible for:

  • The accuracy of product listings, pricing, and descriptions
  • Order fulfilment and shipping
  • Payment collection and refunds
  • Compliance with applicable laws, including export/import regulations, customs, and tax obligations
  • Managing trader relationships within their Hub

Gadura LLC does not act as a party to any transaction between Hub Owners and Buyers.

5. Buyer Responsibilities

Buyers are responsible for providing accurate shipping and contact information, and for reviewing product details before placing orders. All purchases are made directly from the Hub Owner, not from Gadura LLC.

6. Payments

Platform subscription fees are charged to Hub Owners via Stripe. Trade payments between Buyers and Hub Owners are processed through the Hub Owner's configured payment provider (e.g., Paystack, Flutterwave). Gadura LLC does not process, hold, or manage trade payments.

7. Prohibited Use

You may not use the Platform to sell illegal goods, counterfeit products, weapons, controlled substances, or any items prohibited by applicable law. We reserve the right to suspend or terminate any account that violates these Terms.

8. Intellectual Property

The Platform, its design, code, and branding are the intellectual property of Gadura LLC. Hub Owners retain ownership of their own content (product images, descriptions, branding).

9. Limitation of Liability

Gadura LLC provides the Platform "as is" and makes no warranties regarding uptime, accuracy, or fitness for a particular purpose. We are not liable for any disputes between Hub Owners, Traders, and Buyers, nor for any losses arising from trade transactions conducted on the Platform.

10. Termination

We may suspend or terminate your access to the Platform at any time for violation of these Terms. Hub Owners may cancel their subscription at any time; data retention policies will apply.

11. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA. Any disputes shall be resolved in the courts of Wyoming.
